Promega Assistant Terms of Use
These Terms of Use ("Terms") govern your access to and use of the AI assistant chatbot ("Promega Assistant") provided by Promega Corporation, 2800 Woods Hollow Road, Madison, WI 53711, USA ("Promega," "we," "us") and made available on promega.com and its connected regional domains (collectively, the "Website").
These Terms supplement, and are incorporated into, the Promega Website Terms of Use available at https://www.promega.com/legal/terms-and-conditions/website-terms-of-use/ (the "Website Terms"). The Website Terms apply in full to your use of Promega Assistant. These Terms add provisions specific to Promega Assistant; in the event of a conflict between a provision of these Terms that expressly and specifically addresses an Promega Assistant feature and a provision of the Website Terms addressing the same subject, these terms control solely with respect to that Promega Assistant feature. By accessing or using Promega Assistant, you acknowledge that you have read, understood, and accepted these Terms, the Website Terms, the Promega Assistant Privacy Notice, and Promega's Privacy Policy and Cookie Policy.
1. Permitted use
You may use Promega Assistant solely for its intended purposes: to obtain product, technical, application, and protocol information about Promega products available on the Website; to compare products; to locate resources such as technical manuals and protocols; and to navigate the Website. Promega Assistant is an informational and research-support tool for professional and business users. Queries outside the scope of Promega Assistant's intended purposes may be declined or redirected to appropriate Promega resources.
Promega Assistant is an automated system that generates responses using artificial intelligence and Promega-approved content available on promega.com. You are interacting with an automated tool, not a person. Responses may be incomplete, inaccurate, outdated, or not applicable to your specific situation. Consistent with the Website Terms, all information is provided on an "as is" basis for informational purposes only, and Promega expressly disclaims liability for any actions taken or not taken based on Promega Assistant's responses. You should not rely solely on Promega Assistant for critical decisions and are responsible for independently verifying any important information before acting on it.
Promega Assistant is not intended to provide professional scientific, medical, clinical, diagnostic, regulatory, or legal advice, and does not make off-label product recommendations. For product safety information, consult the applicable Safety Data Sheet (SDS), which is the authoritative source. Promega Assistant does not execute purchases or process payments within the chat; any order is completed through the Website's standard checkout and is subject to Promega's applicable sale terms.
2. Eligibility
Promega Assistant is intended for professional and business users and is not intended for use by anyone under the age of 18. Consistent with Promega's Privacy Policy, Promega does not knowingly collect personal data from children through Promega Assistant. By accessing Promega Assistant, you represent and warrant that you are accessing it in your capacity as a professional or business user, and not as an individual consumer for personal, household, or domestic purposes.
3. Feedback, user inputs, and service improvements
You retain ownership of content you submit through Promega Assistant queries. By submitting queries or other content, you grant Promega worldwide, royalty-free, perpetual license to use that content for the purposes described in these Terms — including to generate your requested response and, where the content does not constitute personal data, to evaluate and improve Promega Assistant and related Promega products and services.
When you submit ratings, evaluative feedback, or other input about Promega Assistant responses (collectively, "Feedback"), you grant Promega a worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, and incorporate that Feedback for any purpose, including service improvement and product development. Promega may also use de-identified or aggregated records of your interactions with Promega Assistant — such as query topics, response ratings, and session metadata — to analyze usage patterns and improve Promega Assistant's capabilities. Such records will not be used in a manner that identifies you as an individual. Any personal data submitted through Promega Assistant, if any, is handled exclusively in accordance with the Promega Assistant Privacy Notice and Promega's Privacy Policy and Cookie Policy and is not used for AI training or model improvement.
4. User obligations and prohibited actions
In addition to the prohibited actions in the Website Terms, you agree not to:
- Use Promega Assistant to transmit or distribute unlawful, harmful, or malicious content;
- Interrupt, interfere with, or attempt to interfere with the operation or security features of Promega Assistant, or attempt to gain unauthorized access to any part of Promega Assistant or its systems;
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, algorithms, prompts, or models of Promega Assistant, or permit others to do so;
- Use Promega Assistant as a system input, training data source, or fine-tuning substrate for any artificial intelligence, machine learning, or large language model product or service;
- Engage in any automated or systematic data gathering, scraping, or extraction of content from Promega Assistant;
- Submit prompts designed to manipulate, override, or circumvent Promega Assistant's instructions, safeguards, or content controls;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notice contained in or on Promega Assistant or its output;
- Share login credentials or permit access to your Promega account (where registered) to any third party; or
- Use Promega Assistant other than as described in these Terms, or for any purpose other than those described in Section 1.
Any such use is strictly prohibited. Promega reserves the right to restrict, limit, deny, or terminate access to Promega Assistant in case of misuse or legal non-compliance, consistent with the Website Terms.
5. Intellectual property
All rights, title, and interest in and to Promega Assistant, including its content, data, software, algorithms, user interfaces, and marks ("Promega Assistant Materials"), are and remain the exclusive property of Promega or its licensors and are protected by applicable intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use Promega Assistant for your internal research and informational purposes as set out in these Terms, for as long as you comply with them.
The Copyright Notice, copyright-infringement notification (DMCA / 17 U.S.C. § 512) procedure, and commercial-use restrictions set out in the Website Terms apply to Promega Assistant Materials and to Promega Assistant's output. Output may include or be based on content owned by Promega or third parties; third-party content, including cited sources, remains subject to the rights and terms of those third parties, for which you are solely responsible. No rights are granted except as expressly set out in these Terms and the Website Terms.
6. Third-party content and sources
Promega Assistant may cite or link to content from Promega resources and, where applicable, third-party sources, and relies on a third-party AI service provider to generate responses. As provided in the Website Terms regarding links to other sites, third-party content and websites are provided for informational purposes only, are subject to the respective providers' terms and privacy notices, and are accessed at your own risk. Promega assumes no responsibility for third-party content accessed through Promega Assistant, except where liability cannot be excluded under mandatory applicable law.
7. Data protection and privacy
Promega processes personal data provided through or in connection with Promega Assistant in accordance with applicable data-protection laws, the Promega Assistant Privacy Notice, and Promega's Privacy Policy and Cookie Policy. Promega Assistant does not make decisions producing legal or similarly significant effects on you solely on the basis of automated processing within the meaning of Article 22(1) GDPR, and does not profile users for targeted advertising. Promega Assistant is not designed to process personal data, and we strongly discourage you from submitting personal or confidential data through queries or prompts. If you nonetheless include personal data, it will be processed in accordance with the Promega Assistant Privacy Notice and Promega's Privacy Policy. Conversation session content may be retained for a limited period and may be used to improve the quality and safety of Promega Assistant, as further described in the Promega Assistant Privacy Notice. You may have rights under applicable data-protection law to access, correct, or request deletion of personal data processed in connection with your use of Promega Assistant; to exercise those rights, contact PrivacyTeam@Promega.com.
8. Export compliance and territorial access
Consistent with the Website Terms, access to Promega Assistant from any territory where its content is illegal is prohibited, and you are solely responsible for compliance with all applicable laws, rules, and regulations if you access Promega Assistant from other locations. You may not use Promega Assistant, or use or export any Promega Assistant Materials or output, in violation of U.S. export control or sanctions laws and regulations or other applicable export laws.
9. Disclaimer and limitation of liability
To the fullest extent permitted by applicable law, Promega Assistant is provided "as is" and "as available," with no guarantee of availability, uptime, or service levels, and the disclaimers and limitations of liability in the Website Terms apply in full. Promega makes no warranties, express or implied, regarding the accuracy, reliability, fitness for a particular purpose, merchantability, or non-infringement of Promega Assistant, and excludes all liability for direct, indirect, or consequential damages arising from your use of, or inability to use, Promega Assistant, including any interruption, suspension, or discontinuation of the service. You use Promega Assistant at your own risk.
These provisions do not apply to the extent they would be unenforceable or otherwise contrary to laws that provide for mandatory consumer rights and that are applicable to these Terms. Some mandatory laws provide for non-excludable guarantees; to the extent such laws apply, Promega's liability is limited to the maximum extent permitted by those laws.
10. Indemnification
You agree to indemnify, defend, and hold harmless Promega from any claims, damages, or expenses resulting from your breach of these Terms or the Website Terms, or from your infringement of any third-party rights in connection with such breach, except to the extent directly caused by Promega's gross negligence or willful misconduct, to the extent permitted by applicable law.
11. Notices
Consistent with the Website Terms, communications made through Promega Assistant's chat interface or messaging shall in no way be deemed to constitute legal notice to Promega or any of its officers, employees, agents, or representatives, including where notice to Promega is required by contract or by any law, rule, or regulation.
12. Changes to these Terms
We reserve the right to change these Terms at any time. If we propose to change these Terms, we will display at least two weeks' prior notice of the change on www.promega.com, consistent with the Website Terms. Your continued use of Promega Assistant after the change takes effect constitutes your agreement to the revised Terms.
13. Modification and termination
We may suspend or modify Promega Assistant and its features at any time, with or without notice. We may also suspend or terminate your access if you breach these Terms or the Website Terms, or where required by law. Upon termination, your right to use Promega Assistant ceases immediately.
14. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
15. Governing law and venue
Any claim related to the use of Promega Assistant or to Promega Assistant Materials shall be governed by, construed, and enforced in accordance with the laws of the State of Wisconsin as applied to agreements made and to be performed entirely therein. Any action arising out of or related to the access, use, content, or existence of Promega Assistant shall be filed only in the appropriate state or federal court located within the State of Wisconsin, and your access, viewing, or use of Promega Assistant constitutes your express consent to the jurisdiction of those courts.
The references to the State of Wisconsin in this section do not apply to the extent they would be unenforceable or otherwise contrary to laws that provide for mandatory consumer rights and that are applicable to these Terms. Some mandatory laws may require the governing law or the forum for the determination of disputes to be other than those of the State of Wisconsin.
